Terms of Service

• “Platform” means the Foreko web application, APIs, and related services.
• “Customer” means the organization that has entered into a subscription agreement with Foreko.
• “Authorized User” means an individual granted access to the Platform by the Customer.
• “Customer Data” means any data, content, or information submitted to the Platform by the Customer or its Authorized Users.

Access to the Platform is granted only to Authorized Users provisioned by the Customer's administrator. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must immediately notify Foreko of any unauthorized access at legal@foreko.app.

Two-factor authentication (2FA) is required for all platform logins to protect your account and Customer Data.

You may use the Platform solely for your organization's internal business purposes, including demand forecasting, inventory planning, procurement optimization, and related analytics. You agree not to:

• Reverse engineer, decompile, or attempt to extract source code from the Platform
• Use the Platform to develop a competing product or service
• Attempt to gain unauthorized access to other customers' data or systems
• Introduce malicious code, viruses, or disruptive data into the Platform
• Resell, sublicense, or transfer access to the Platform without Foreko's written consent
• Use automated tools to scrape or extract data from the Platform beyond normal API usage

You retain full ownership of all Customer Data you submit to the Platform. You grant Foreko a limited, non-exclusive license to process Customer Data solely as necessary to provide the services described in these Terms.

Customer Data is never used to train models for other customers, shared with third parties for commercial purposes, or used for any purpose beyond delivering the Platform services to your organization.

You represent that you have all rights, consents, and permissions necessary to submit Customer Data to the Platform.

The Platform builds and operates individual machine learning models per Customer organization. These models are trained exclusively on your Customer Data and are logically isolated from models built for other customers. Forecasts, recommendations, and insights generated by the Platform are derived solely from your organization's own data.

Foreko retains intellectual property rights in the Platform's underlying infrastructure, algorithms, and model architectures. The outputs generated for your organization (forecasts, reports, recommendations) belong to you.

Platform access is provided on a subscription basis as agreed in your order form or subscription agreement. Fees are billed in advance on the applicable billing cycle. Foreko reserves the right to suspend access for non-payment after a 10-day cure period following notice.

All fees are non-refundable except as expressly stated in your subscription agreement or required by applicable law.

Each party agrees to keep confidential the other party's non-public information and to use it only as permitted under these Terms. Foreko will treat all Customer Data as confidential. This obligation survives termination of your subscription.

Foreko maintains a security program consistent with SOC 2 principles, including encryption, access controls, monitoring, and incident response. For full details, see our Security Policy.

Customers are responsible for managing Authorized User access, enforcing 2FA enrollment, and promptly revoking access for departing personnel.

Foreko targets high availability for the Platform and will communicate planned maintenance in advance where possible. We do not guarantee uninterrupted service and are not liable for downtime outside our reasonable control (force majeure, third-party infrastructure failures, etc.).

Foreko and its licensors retain all intellectual property rights in the Platform, including its software, models, interfaces, and documentation. Nothing in these Terms transfers any ownership of Platform IP to you.

You grant Foreko a limited right to use your company name and logo for reference in customer lists and marketing materials, which you may revoke at any time by written notice.

THE PLATFORM IS PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOREKO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FOREKO DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR THAT FORECASTS AND RECOMMENDATIONS WILL BE ACCURATE. OUTPUTS ARE ADVISORY ONLY — BUSINESS DECISIONS REMAIN YOUR RESPONSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOREKO'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL FOREKO BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THEIR POSSIBILITY.

These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach upon 30 days' written notice if the breach is not cured within that period. Upon termination, Foreko will make Customer Data available for export for 90 days, after which it will be deleted.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration under the AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in court for intellectual property matters.

Foreko may update these Terms from time to time. Material changes will be communicated via email to Customer administrators at least 30 days before taking effect. Continued use of the Platform after that date constitutes acceptance of the updated Terms.
